Welcome to SubLocal. These Terms & Conditions ("Terms") govern your access to and use of the SubLocal website, apps, services, features, content, and related tools operated by SubLocal, LLC ("SubLocal," "we," "us," or "our").
By accessing or using SubLocal, you agree to be bound by these Terms. If you do not agree, do not use SubLocal.
1. Who We Are
SubLocal is a local discovery platform that may include, among other things, business listings, public profiles, creator content, local guides, lists, events, comments, photos, and paid business features.
2. Eligibility
You must be at least 13 years old to use SubLocal.
By using SubLocal, you represent and warrant that:
- you are at least 13 years old;
- you have the legal capacity to enter into these Terms;
- you will comply with these Terms and all applicable laws.
SubLocal is intended primarily for general local discovery and community use. Mature or adult-only content is not permitted on the platform.
3. Your Account
You may need an account to access certain features. You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account;
- providing accurate, current, and complete information;
- keeping your account information updated.
You may not:
- impersonate any person or business;
- create accounts using false or misleading information;
- transfer your account without our permission;
- use bots, scripts, scraping tools, or abusive automation to access or interact with the platform in unauthorized ways.
We may suspend, restrict, or terminate accounts at any time in our sole discretion, including for suspected fraud, impersonation, abusive conduct, fake businesses or events, repeated moderation issues, payment abuse, chargebacks, or violations of these Terms.
4. Description of the Service
SubLocal provides a platform for local discovery. Content and features may include:
- business pages and directory listings;
- public user profiles and creator profiles;
- public and private lists or guides;
- event postings and promotion tools;
- comments, saves, and other engagement features;
- paid features such as subscriptions, sponsorships, verification-related services, or similar offerings.
We may add, change, remove, suspend, or discontinue features at any time.
5. User Content
"User Content" means any information, text, images, photos, profile details, business details, event details, comments, lists, guides, usernames, logos you have rights to use, and other materials submitted to SubLocal.
You retain ownership of your User Content, but by submitting or posting User Content on or through SubLocal, you grant SubLocal a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, modify for formatting and display, publish, distribute, publicly display, and otherwise use such User Content as needed to operate, improve, promote, and provide the platform.
You represent and warrant that:
- you own your User Content or have all necessary rights to submit it;
- your User Content does not violate any law or any third-party rights;
- your User Content is not false, misleading, fraudulent, defamatory, infringing, obscene, or otherwise prohibited;
- any business, event, or promotional information you submit is accurate to the best of your knowledge at the time of submission.
6. Public Content
You understand and agree that some content on SubLocal may be publicly visible, including:
- usernames and display names;
- public profiles;
- public lists and guides;
- business listings and business page content;
- event pages and event details;
- comments and other public-facing submissions;
- photos and media attached to public content.
Do not submit information you do not want made public in areas intended for public display.
7. Acceptable Use
You agree not to:
- violate any law or regulation;
- post false, deceptive, misleading, or fraudulent content;
- post spam, duplicate listings, low-quality submissions, or manipulative promotions;
- infringe copyrights, trademarks, publicity rights, privacy rights, or other rights;
- upload malicious code, attempt unauthorized access, or interfere with the platform;
- harass, abuse, threaten, stalk, or intimidate others;
- scrape, crawl, index, or harvest the platform without authorization;
- create fake businesses, fake events, fake accounts, or misleading reviews;
- post mature, explicit, illegal, or unsafe content;
- use SubLocal in a way that could damage the platform, users, businesses, or the public.
8. Business Listings, Profiles, and Submissions
SubLocal may allow users, business owners, or authorized representatives to submit or claim business-related information.
By submitting business information, you represent and warrant that:
- you are authorized to submit or manage that information, or you are submitting accurate public-facing information in good faith for directory purposes;
- the information provided is not intentionally false or misleading;
- you will not misrepresent affiliation, ownership, endorsement, hours, services, prices, or availability.
SubLocal does not guarantee publication, ranking, visibility, placement, or continued display of any business page, category placement, or profile feature.
We may edit business information for formatting, clarity, categorization, policy enforcement, quality control, moderation, safety, or platform consistency.
9. Events and Local Listings
SubLocal may allow users to post, promote, or submit local events and other local listings.
By submitting an event or listing, you represent and warrant that:
- you have the right and authority to post it;
- the information is accurate at the time of submission;
- any dates, times, locations, pricing, restrictions, and descriptions are not misleading;
- the event or listing complies with applicable laws, venue rules, permits, licensing requirements, and safety obligations;
- the event or listing is not unlawful, deceptive, dangerous, or prohibited.
SubLocal is not the organizer, host, sponsor, ticketing provider, insurer, guarantor, or operator of third-party events unless expressly stated otherwise.
SubLocal is not responsible for:
- cancellations;
- postponements;
- venue changes;
- inaccurate event details;
- ticketing disputes with third parties;
- injuries, damages, losses, or disputes arising from attendance or participation;
- conduct of attendees, hosts, venues, vendors, or third parties.
Attendance at or participation in any event is at your own risk.
10. Accuracy and Local Information Disclaimer
Local information may change frequently. SubLocal does not guarantee that any content on the platform is complete, current, accurate, or still available.
This includes, without limitation:
- event dates and times;
- business hours;
- prices;
- availability;
- addresses;
- venue details;
- service offerings;
- promotions;
- temporary closures;
- category placement or tags.
Users should independently verify important details before relying on them.
11. Moderation and Editorial Rights
SubLocal reserves the right, but not the obligation, to review, screen, reject, edit, remove, reclassify, refuse, restrict, or disable any content, account, event, listing, business submission, profile, sponsorship, or feature at any time, for any reason or no reason, in our sole discretion.
This includes content we believe is:
- misleading;
- illegal;
- infringing;
- unsafe;
- low-quality;
- spammy;
- abusive;
- duplicative;
- off-topic;
- harmful to users, businesses, or the platform.
We may also edit formatting, business information, category placement, labels, tags, or similar content organization for platform consistency, moderation, or quality purposes.
SubLocal does not guarantee approval, publication, ranking, traffic, engagement, business results, visibility, or continued display.
12. Paid Features, Subscriptions, Sponsorships, and Verification Services
SubLocal may offer paid products or services, including subscriptions, sponsorships, profile upgrades, verification-related services, or other business tools.
12.1 Plus Profile Subscription
If SubLocal offers a monthly Plus Profile subscription, it is non-refundable except where required by law.
Your subscription may renew according to the terms presented at purchase unless canceled in accordance with the applicable billing flow.
12.2 Insurance Verification
If SubLocal offers insurance verification review, that fee becomes non-refundable once review begins.
Insurance verification is valid only through the actual expiration date shown in the submitted insurance documentation. It is not a fixed one-year product unless expressly stated otherwise.
Verification may be denied, revoked, expired, removed, or withheld if documents are invalid, incomplete, expired, misleading, unverifiable, or no longer current.
Payment for review does not guarantee approval.
12.3 Sponsorships
Sponsorships are non-refundable unless required by law.
Sponsorships do not guarantee any specific level of:
- traffic;
- impressions;
- views;
- saves;
- leads;
- clicks;
- customer activity;
- business performance.
Purchasing a sponsorship does not guarantee increased visibility, results, or commercial outcomes.
SubLocal retains discretion over sponsorship placement, availability, formatting, duration, and eligibility.
13. Payments and Third-Party Processors
Payments may be processed by third-party providers. By purchasing paid features through SubLocal, you agree to any applicable payment terms presented at checkout and any terms of the third-party payment processor used.
SubLocal is not responsible for independent errors, outages, or security failures of third-party payment providers, except as required by law.
14. Intellectual Property
All content and materials owned by SubLocal, including the SubLocal name, branding, platform design, software, interfaces, text, graphics, features, and other platform elements, are owned by or licensed to SubLocal and are protected by applicable intellectual property laws.
Except as expressly permitted, you may not copy, reproduce, distribute, modify, reverse engineer, republish, sell, or exploit any part of the platform without our prior written permission.
15. Third-Party Rights, Trademarks, and Copyright Concerns
SubLocal does not claim ownership of third-party trademarks, logos, trade names, or copyrighted materials that may appear in user submissions, business references, or public-facing listings where lawfully referenced.
All brands, marks, and copyrighted materials remain the property of their respective owners.
If you believe content on SubLocal infringes your copyright, trademark, or other rights, you may contact us at Support@sublocal.co with:
- your name and contact information;
- identification of the content at issue;
- a description of the rights you believe are being violated;
- the location of the allegedly infringing material;
- a statement explaining your claim.
We may investigate and remove or restrict content in our discretion.
16. User Reports and Takedown Requests
Users, businesses, and rights holders may report content they believe is inaccurate, misleading, unlawful, infringing, duplicative, impersonating, or otherwise in violation of these Terms.
SubLocal may review and act on reports in its sole discretion. We are not required to remove content solely because a report is submitted, but we may do so if we determine removal or restriction is appropriate.
17. No Endorsement
SubLocal does not endorse or guarantee any user, business, creator, listing, event, advertiser, sponsor, or third party merely because they appear on the platform.
Featuring, listing, publishing, sponsoring, verifying, or displaying content does not constitute a guarantee, certification, endorsement, or recommendation unless expressly stated.
18. Third-Party Links and Services
SubLocal may contain links to third-party websites, maps, social platforms, businesses, vendors, ticket providers, or external services. We do not control and are not responsible for those third parties or their content, products, services, policies, or actions.
Your use of third-party services is at your own risk.
19. Disclaimer of Warranties
SubLocal is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, SubLocal disclaims all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted operation.
We do not guarantee that:
- the platform will always be available or error-free;
- content will be accurate or current;
- defects will be corrected;
- the platform will be secure or free from harmful components;
- use of the platform will produce any specific result.
20. Limitation of Liability
To the fullest extent permitted by law, SubLocal, LLC and its officers, members, managers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, data, business opportunity, or other intangible losses arising out of or related to your use of or inability to use the platform.
To the fullest extent permitted by law, the total liability of SubLocal for any claim arising out of or related to the platform or these Terms will not exceed the greater of:
- the amount you paid to SubLocal in the 12 months before the claim; or
- $100 USD.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
21. Indemnification
You agree to defend, indemnify, and hold harmless SubLocal, LLC and its affiliates, officers, members, managers, employees, contractors, licensors, and service providers from and against any claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use of the platform;
- your User Content;
- your violation of these Terms;
- your violation of any law or third-party right;
- your event, listing, business submission, sponsorship, promotion, or account activity.
22. Arbitration Agreement and Class Action Waiver
Please read this section carefully. It affects your legal rights.
22.1 Agreement to Arbitrate
To the fullest extent permitted by law, you and SubLocal agree that any dispute, claim, or controversy arising out of or relating to these Terms, the platform, or your relationship with SubLocal will be resolved by binding individual arbitration, rather than in court, except for matters that may be brought in small claims court if eligible.
22.2 Informal Resolution First
Before initiating arbitration, the party seeking relief must first send a written notice describing the dispute and requested resolution to Support@sublocal.co. The parties agree to attempt to resolve the matter informally for at least 30 days before filing arbitration.
22.3 Individual Claims Only
You and SubLocal agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general proceeding.
22.4 Arbitration Rules and Venue
The arbitration will be administered under applicable consumer arbitration rules selected by SubLocal in a manner consistent with applicable law. Unless otherwise required by law, the seat or legal place of arbitration will be in Washington State.
22.5 Exceptions
Nothing in this section prevents either party from seeking injunctive or equitable relief for misuse of intellectual property, unauthorized access, abuse of the platform, or other claims appropriate for such relief.
22.6 Enforceability
If any portion of this arbitration provision is found unenforceable, the remaining portions will remain in effect to the fullest extent permitted by law.
23. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles, except to the extent federal law or applicable consumer protection law requires otherwise.
24. Termination
You may stop using SubLocal at any time.
We may suspend or terminate your access, remove content, cancel listings, deny publication, revoke features, or restrict functionality at any time, with or without notice, in our sole discretion.
Sections that by their nature should survive termination will survive, including provisions relating to ownership, licenses, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
25. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may post the updated version and revise the "Last Updated" date.
Your continued use of SubLocal after updated Terms become effective constitutes acceptance of the updated Terms.
